Mattr provides the following correction to the press release issued earlier today, December 6, 2024, which stated that the yield to maturity on the 125,000 Subscription Receipts, as defined below, to be issued pursuant to the private placement offering is 6.375%. Such yield to maturity for each Subscription Receipt should read 6.735%. TORONTO, Dec. 06, 2024 (GLOBE NEWSWIRE) -- Mattr Corp. ("Mattr" or the "Company") MATR announced today that it has entered into an underwriting agreement to sell, pursuant to a private placement offering (the "Offering"), 125,000 debt subscription receipts (the "Subscription Receipts") at a price of $1,018.75 per Subscription Receipt (yield to maturity of 6.735%), plus accrued but unpaid interest on the underlying Note (as defined below) from October 2, 2024 to, but excluding the closing of the Offering, for an aggregate issue price of $1,034 and gross proceeds to the Company of approximately $129.3 million. Each Subscription Receipt will entitle the holder thereof to receive, upon the satisfaction of certain conditions and without payment of additional consideration or further action, a newly authenticated 7.25% senior unsecured note of the Company due April 2, 2031, in a principal amount of $1,000 (collectively for all Subscription Receipts, the "Notes"). The Notes shall be issued as "Additional Notes" pursuant to the trust indenture dated April 2, 2024 between TSX Trust Company and the Company, as supplemented by a supplemental indenture, such that, following the issuance thereof, $300 million aggregate principal amount of 7.25% senior unsecured notes of the Company due April 2, 2031, will be outstanding. Mattr intends to use the net proceeds of the Offering to pay a portion of the purchase price for the Company's previously announced indirect acquisition (the "Acquisition") of all of the issued and outstanding shares of AmerCable Incorporated. Mattr expects the closing of the Acquisition to occur in the first quarter of 2025. "This Offering provides continued capital structure stability and converts a portion of the anticipated AmerCable funding to fixed rates once closing conditions have been met," said Tom Holloway, Mattr's CFO. "We are deeply appreciative of the support and confidence of all investors and are excited by the additional balance sheet optionality created to continue our long-term value creation strategies." The Subscription Receipts are being offered through TD Securities and National Bank Financial Markets. The Subscription Receipts will be offered for sale in Canada to accredited investors on a private placement basis, in accordance with Canadian securities laws. The Subscription Receipts have not been registered under the U.S. Securities Act, or any state securities laws, and are being offered and sold in the United States to qualified institutional buyers only, pursuant to Rule 144A of the U.S. Securities Act. The Subscription Receipts may be sold outside of the United States in accordance with Rule 903 of Regulation S under the U.S. Securities Act. Subject to customary closing conditions, the Offering is expected to close on or about December 19, 2024. Vouchers can make or break your run in Balatro , and deciding which ones to buy from the shop is key to your success. Vouchers offer permanent buffs that come in handy once you face the obnoxiously high Boss Blinds your decks must clear in the late game. Priced at $10 each, they are also the most expensive upgrades in the game, so you typically want to buy Vouchers that immediately impact the game. But there’s one voucher that doesn’t do much of anything, at least at first. The aptly named Blank Voucher stands out among the 32 Vouchers in the game for being odd and seemingly useless. Despite the playful question mark at the end of its description — which reads “Does Nothing?” — the Blank Voucher literally does nothing to improve your run — until it transforms, that is. What does the Blank Voucher do in Balatro? All Vouchers, once purchased, trigger the possibility of a much more powerful, level 2 version of that Voucher appearing in the Shop. In the case of the Blank Voucher, the worst one in the game becomes Antimatter, the best Voucher in the game. Antimatter gives players an extra Joker slot, which opens up even more avenues for stacking up your Chips and Mults. Trust me, having 6 Jokers instead of 5 is powerful . Stocking up on the best Jokers is how you’ll make it past the ridiculous score thresholds present in Purple, Orange and Gold Stake runs, so the more the merrier. Antimatter is particularly useful against the finisher Boss Blind Verdant Leaf, which debuffs all your cards until you sell a Joker card. With Antimatter, you gain an extra slot you can fill with a cheap Joker you don’t care about until you satisfy Verdant Leaf’s condition. To unlock Antimatter, Blank Voucher must be purchased 10 times in multiple runs. Once Antimatter is unlocked, you’ll still be spending $10 each and every run on a Blank Voucher for the possibility of Antimatter appearing in the shop, but you won’t have to do that 10 times again. So is paying for Blank Voucher worth it? Probably. Like much of Balatro , it comes down to luck. If you’re rolling in the dough because a Lucky Cat build got your economy purring, then it’s likely worth it. But if you’re strapped for cash, it feels wrong to waste $10 on Blank Voucher and then never even see Antimatter during the rest of your run. Still though, that potential for a +1 Joker slot might just make it worth the risk.Cowboys star G Zack Martin doubtful to play vs. Commanders

DETROIT (AP) — For most of a century, the Detroit Lions making the playoffs was a banner day. Suddenly, it has become old hat. After winning their last NFL championship in 1957 , the Lions only played 13 playoff games in the next 75 seasons. They only won one of them — a 38-6 rout of the Dallas Cowboys in 1991. That all changed last season. The Lions beat the Rams 24-23 on Jan. 14 and then defeated Tampa Bay 31-23 a week later. They led the NFC championship game 24-7 at halftime, but the San Francisco 49ers rallied to win 34-31. This year, things have been even better. A week after a Thanksgiving win over the Chicago Bears, the Lions beat Green Bay 34-31 to move to 12-1 and clinch a second straight postseason berth — the first time they've done that since going three years in a row from 1993-95. Coach Dan Campbell didn't even notice his team had secured a playoff spot after beating the Packers. “I just found that out — I didn't even realize,” he said after the game. “It's good. It's good, but it's like, man, we've got four (games) left and we want to get in a different way. We want to go in on our terms and find a way to get this one seed. That's the priority.” Campbell was so oblivious to locking up a spot that he didn't even mention it to the team after the game — although they might have seen “Playoffs Clinched” plastered all over the scoreboards. “I wish I had told the team, but I had no idea,” he said. “Honestly, I think they know. They feel like I feel. We can do the old golf clap, but we know what we want to do.” Jared Goff, who followed Campbell into the interview room, agreed with his coach. “I just heard that,” he said. “It's pretty cool, but it is certainly not what our ultimate goal is. We want to win this division, and we've still got some work to do.” At 12-1 and on an 11-game winning streak, it is hard to find something that isn't working. The Lions offense, though, has been remarkable. They have scored at least 23 points in 10 straight games, including six games over 30, four over 40 and two over 50. They are leading the league in scoring at 32.1 points per game and are fourth in both passing touchdowns (27) and rushing touchdowns (22). The Lions are second in the league in scoring defense (18.0 ppg), but injuries are starting to catch up to them. Jordan Love averaged 10.3 yards per attempt and 17.2 yards per completion on Thursday — both season-worsts for Detroit's defense — and the Packers were the first team this season to score 30 points against them. Seven Lions defenders registered a quarterback hit on Thursday night. Linebacker Jack Campbell was a first-round pick in 2023 and has been a fixture on the Detroit defense, but the other six — Al-Quadin Muhammad, Myles Adams, Trevor Nowaske, Za'Darius Smith, Ezekiel Turner and Jonah Williams — have joined the team during the regular season to replace injured players. Rookie CB Terrion Arnold had a rough day, including yet another pass-interference penalty in the end zone, this one wiping out a Lions interception. He hasn't recorded an interception in his 12-game career and is averaging 0.6 passes defended per game. The Lions were missing 11 defensive linemen and linebackers against the Packers, then lost key defensive tackle Alim McNeill to a head injury. Most of those players are on injured reserve, but it isn't clear if McNeill, Levi Onwuzurike (hamstring), Josh Paschal (knee) or D.J. Reader (shoulder) will be available to face Buffalo on Dec. 15. 18 — the number of Lions on injured reserve, more than any other team in the NFL. If anything can derail them between now and the Super Bowl, it is going to be running out of healthy players in places other than the defensive front seven. Get as much rest and healing as possible with a long week ahead. ___ AP NFL: https://apnews.com/hub/nflEagles-Cowboys analysis: Backup Birds QBs and Saquon Barkley lead a 41-7 rout to clinch NFC East title

The launch of O-Train service will be delayed for more than four hours on Sunday, Dec. 1, as OC Transpo continues preparation for the launch of O-Train service in Ottawa's east end. OC Transpo general manager Renee Amilcar says the O-Train will be closed from 8 a.m. to 12:30 p.m. on Dec. 1, to allow for testing of the Stage 2 software integration. "This temporary closure is required to perform testing of the Train Control System along with high-speed data radio, camera, and passenger information systems," Amilcar said. "Testing the integration of Stage 2 software with the existing O-Train system is a key step in preparing for the extension of O-Train Line 1 to Trim Station in 2025." The Line 1 extension will see the O-Train run between Blair Station and Trim Station. The Confederation Line normally opens at 8 a.m. on Sundays. Amilcar says R1 bus service will operate between Tunney's Pasture and Blair stations from 8 a.m. to 1 p.m., and an R1 shuttle bus will run between St. Laurent and Cyrville stations and Lees Station and Mackenzie King Bridge. The O-Train was closed the first weekend of October to allow for Stage 2 East integration work, giving officials a chance to test and validate the train control software to integrate the east extension with the existing O-Train Line 1. By DAVID A. LIEB Artificial intelligence. Abortion. Guns. Marijuana. Minimum wages. Name a hot topic, and chances are good there’s a new law about it taking effect in 2025 in one state or another. Many of the laws launching in January are a result of legislation passed this year. Others stem from ballot measures approved by voters. Some face legal challenges. Here’s a look at some of the most notable state laws taking effect: California, home to Hollywood and some of the largest technology companies, is seeking to rein in the artificial intelligence industry and put some parameters around social media stars. New laws seek to prevent the use of digital replicas of Hollywood actors and performers without permission and allow the estates of dead performers to sue over unauthorized AI use. Parents who profit from social media posts featuring their children will be required to set aside some earnings for their young influencers. A new law also allows children to sue their parents for failing to do so. New social media restrictions in several states face court challenges. But enforcement is being delayed because of a lawsuit filed by two associations for online companies, with a hearing scheduled for late February. A new Tennessee law also requires parental consent for minors to open accounts on social media. NetChoice, an industry group for online businesses, is challenging the law. Another new state law requires porn websites to verify that visitors are at least 18 years old. But the Free Speech Coalition, a trade association for the adult entertainment industry, has filed a challenge. Several new California measures aimed at combating political deepfakes are also being challenged, including one requiring large social media platforms to remove deceptive content related to elections and another allowing any individual to sue for damages over the use of AI to create fabricated images or videos in political ads . In a first nationally, California will start enforcing a law prohibiting school districts from adopting policies that require staff to notify parents if their children change their gender identification . The law was a priority for Democratic lawmakers who wanted to halt such policies passed by several districts. Many states have passed laws limiting or protecting abortion rights since the U.S. Supreme Court overturned a nationwide right to the procedure in 2022. One of the latest is the Democratic-led state of Delaware. A law there will require the state employee health plan and Medicaid plans for lower-income residents to cover abortions with no deductible , copayments or other cost-sharing requirements. A new Minnesota law prohibits guns with “binary triggers” that allow for more rapid fire, causing a weapon to fire one round when the trigger is pulled and another when it is released. In Delaware, a law adds colleges and universities to a list of school zones where guns are prohibited, with exceptions for those working in their official capacity such as law officers and commissioned security guards. Kentucky is becoming the latest state to let people use marijuana for medical purposes . To apply for a state medical cannabis card, people must get written certification from a medical provider of a qualifying condition, such as cancer, multiple sclerosis, chronic pain, epilepsy, chronic nausea or post-traumatic stress disorder. Nearly four-fifths of U.S. states have now legalized medical marijuana. Minimum wage workers in more than 20 states are due to receive raises in January. The highest minimum wages will be in Washington, California and Connecticut, all of which will top $16 an hour after modest increases. The largest increases are scheduled in Delaware, where the minimum wage will rise by $1.75 to $15 an hour, and in Nebraska, where a ballot measure approved by voters in 2022 will add $1.50 to the current minimum of $12 an hour. Twenty other states still follow the federal minimum wage of $7.25 an hour. In Oregon, using drugs on public transit will be considered a misdemeanor crime of interfering with public transportation. While the measure worked its way through the legislature, multiple transportation officials said drug use on buses and trains, and at transit stops and stations, was making passengers and drivers feel less safe. In Missouri, law enforcement officers have spent the past 16 months issuing warnings to motorists that handheld cellphone use is illegal. Starting with the new year, penalties will kick in: a $150 fine for the first violation, progressing to $500 for third and subsequent offenses and up to 15 years imprisonment if a driver using a cellphone cause an injury or death. But police must notice a primary violation, such as speeding or weaving across lanes, to cite motorists for violating the cellphone law. Montana is the only state that hasn’t banned texting while driving , according to the National Conference of State Legislatures. Tenants in Arizona will no longer have to pay tax on their monthly rent , thanks to the repeal of a law that had allowed cities and towns to impose such taxes. While a victory for renters, the new law is a financial loss for governments. An analysis by Arizona’s nonpartisan Joint Legislative Budget Committee estimated that $230 million would be lost in municipal tax revenue during the first full fiscal year of implementation. Meanwhile Alabama will offer tax credits to businesses that help employees with child care costs. Kansas is eliminating its 2% sales tax on groceries. It also is cutting individual income taxes by dropping the top tax rate, increasing a credit for child care expenses and exempting all Social Security income from taxes, among other things. Taxpayers are expected to save about $320 million a year going forward. An Oklahoma law expands voting privileges to people who have been convicted of felonies but had their sentences discharged or commuted, including commutations for crimes that have been reclassified from felonies to misdemeanors. Macaulay Culkin has told his children that he is working for Santa Claus. The 44-year-old actor is currently engaged to former Disney Channel star Brenda Song, 36, and has Dakota, three, as well two-year-old son - whose name has not been disclosed publicly - with her and insisted that they want to "go all out" for the festive season, even when he is away from home. He told E! News: "We want to go all out at Christmas in our house. Because right now they're at the magic age where they believe and we want to nurture that belief. I told them that I'm at Santa's workshop fixing toys, because that's what I do for them at home." I'm so good that Santa Claus called me up to the North Pole. They're totally fine with that!" The 'My Girl' star also noted that both his sons clearly take after him because of what is on their Chtismtas list and described himself as a "maestro" of certain decorations that go up on display throughout the holiday season. He said: "Dakota wants a Spider-Man truck, he wants a truck from New York City and he wants more presents. "And my youngest heard exactly what he said. He goes, 'I want a garbage truck. I want garbage bins and I want more presents.' It's like they're wishing for more wishes. I'm like, 'You guys are certainly my sons. "I guess the best word would be maestro, maybe master, of stockings. I nail the stockings every year. I'm just about to get on top of my stocking game as we speak!" Meanwhile, Macaulay became the highest-paid child actor of all time at the height of his career in the early 1990s when he starred in festive classics 'Home Alone' and 'Home Alone 2: Lost in New York' and has only just learned to "embrace" the festive season for what it is following such a tumultuous time. He said: "It was a bit burdensome. I'm embracing it and at the same time, I guess the best way to put it is taking the piss out of it, too, having fun with it. It's very rare when you have something that encompasses an important day and I'm a part of that. It's more fun to embrace it than to fight it."
